These Terms of Service (“Terms”) constitute a legally binding agreement between you (the individual or legal entity you represent, collectively “you” or “Client”) and EffiQ Technology Solutions Inc. (“EffiQ,” “we,” “us,” or “our”), incorporated in Ontario, Canada.
By accessing our website at effiqt.com, submitting a consultation request, executing a Statement of Work or Master Services Agreement, or using any EffiQ product or service, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, please do not use our website or services.
Note: These Terms apply to your use of the effiqt.com website and general service inquiries. The terms governing specific consulting engagements, software access, and professional services are set out in your Master Services Agreement (MSA) and applicable Statements of Work (SOWs). In the event of a conflict, your MSA takes precedence.
EffiQ provides the following categories of services:
EffiQ reserves the right to modify, discontinue, or add services at any time. Changes to services under active engagements are governed by your MSA and SOW change control procedures.
Our website and services are intended for business use by adults aged 18 and over. By using our services, you represent and warrant that:
Professional consulting services are governed by a separate Master Services Agreement (MSA) and one or more Statements of Work (SOWs) that define scope, deliverables, timelines, and fees.
Unless otherwise specified in an SOW:
Access to the VisiQ Platform and NaviQ AI Copilot is provided subject to a separate subscription or license agreement. The following general terms apply:
EffiQ grants you a limited, non-exclusive, non-transferable license to access and use the platform(s) for your internal business operations during the subscription term.
You may not sublicense, resell, reverse engineer, decompile, or create derivative works from the platforms without prior written consent from EffiQ.
You retain ownership of operational data you input into the platforms. You grant EffiQ a limited license to process this data solely to provide and improve the service.
NaviQ AI Copilot generates responses based on your connected data. EffiQ does not warrant the accuracy of AI-generated outputs. You are responsible for verifying information before making operational decisions.
EffiQ will use commercially reasonable efforts to maintain platform availability. Planned maintenance will be communicated in advance. EffiQ is not liable for downtime caused by third-party infrastructure providers.
All content on the effiqt.com website, including text, graphics, logos, and software, is the property of EffiQ Technology Solutions Inc. or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without express written permission.
VisiQ, NaviQ, and all underlying code, algorithms, models, data structures, and methodologies remain the exclusive property of EffiQ regardless of any customization performed for a Client.
Unless otherwise agreed in writing in an SOW, custom deliverables developed specifically for a Client (excluding EffiQ’s pre-existing IP and tools) will be assigned to the Client upon full payment of all outstanding fees.
Any feedback, suggestions, or ideas you provide regarding our services may be used by EffiQ without restriction or compensation.
Both parties acknowledge that, in the course of an engagement, each may receive or have access to confidential information belonging to the other. Each party agrees to:
These obligations survive termination of any engagement for a period of three (3) years, unless the information constitutes a trade secret, in which case obligations continue for as long as the information remains a trade secret.
Confidential Information does not include information that is or becomes publicly known through no fault of the receiving party, was already known to the receiving party, or is independently developed without reference to the disclosing party’s information.
Fees for consulting services, platform subscriptions, and staff augmentation are set out in the applicable SOW or subscription agreement. Unless otherwise stated:

EffiQ does not warrant specific outcomes from consulting engagements. Results depend on factors including Client readiness, system complexity, data quality, and third-party platform behaviour outside EffiQ’s control.
Third-party platforms: EffiQ is an independent consulting firm. References to Manhattan Associates, Infios, Microsoft, Snowflake, AWS, and other platforms do not imply an endorsement by or formal partnership with those organizations. Platform licensing and support obligations remain between Client and the respective platform vendor.
To the maximum extent permitted by applicable law:
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain types of damages. In such jurisdictions, EffiQ’s liability is limited to the fullest extent permitted by law.
You agree to indemnify, defend, and hold harmless EffiQ and its officers, directors, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
These Terms apply as long as you access our website or use any EffiQ service. For specific engagements, the term is defined in the applicable SOW or subscription agreement.
You may terminate a consulting engagement or subscription in accordance with the notice requirements set out in your MSA or SOW. Early termination fees may apply as specified in those documents.

Upon termination, your right to use our platforms ceases immediately. Provisions regarding intellectual property, confidentiality, payment of outstanding fees, indemnification, and limitation of liability survive termination.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising from or relating to these Terms or our services that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Ontario, Canada. You consent to the personal jurisdiction of such courts and waive any objection to venue.
Before initiating formal proceedings, both parties agree to attempt in good faith to resolve any dispute through senior-level negotiation for a period of not less than thirty (30) days following written notice of the dispute.
EffiQ reserves the right to update these Terms from time to time. We will provide notice of material changes via our website or direct communication. Your continued use of our services following any update constitutes acceptance of the revised Terms.
